Google secara mengejutkan telah membeli 63% saham Motorola Mobility seharga US$ 12,5 Milyar dengan harga perlembar sahamnya US$40.

Langkah pembelian Motorola Mobility diharapkan dapat meningkatkan ekosistem Android dan memberi sumber pemasukan keuangan baru bagi Google dengan memasuki pasar baru sebagai produsen handphone.

Dengan demikian Google secara otomatis menguasai 17.000 hak paten dan 7.000 hak paten yg belum disahkan milik Motorola, yang nantinya dapat digunakan sebagai amunisi untuk memperkuat posisi tawar Android.

Keputusan yang sangat tepat mengingat sebelumnya Google gagal membeli 4.000 hak paten Norton dan fakta bahwa OS Android yang rentan akan tuntutan hukum dari pihak pesaing lain seperti Microsoft, Apple dan Oracle.

Untungnya, pembelian Motorola dipastikan tidak mengubah status Android yang terbuka dan tetap terpisahnya Motorola dari bisnis utama Google. Keputusan yg disambut baik oleh para vendor Android lain seperti Samsung, Sony Ericsson, HTC dan LG.

Keabsahan transaksi ini tinggal menunggu keputusan pihak regulator di Amerika, Uni Eropa dan juga para pemegang saham Motorola lain yang diharapkan akan segera rampung pada akhir 2011 atau awal 2012.

Google to Acquire Motorola Mobility

Combination will Supercharge Android, Enhance Competition, and Offer Wonderful User Experiences

MOUNTAIN VIEW, CA and LIBERTYVILLE, IL – AUGUST 15, 2011 – Google Inc. (NASDAQ: GOOG) and Motorola Mobility Holdings, Inc. (NYSE: MMI) today announced that they have entered into a definitive agreement under which Google will acquire Motorola Mobility for $40.00 per share in cash, or a total of about $12.5 billion, a premium of 63% to the closing price of Motorola Mobility shares on Friday, August 12, 2011. The transaction was unanimously approved by the boards of directors of both companies.

The acquisition of Motorola Mobility, a dedicated Android partner, will enable Google to supercharge the Android ecosystem and will enhance competition in mobile computing. Motorola Mobility will remain a licensee of Android and Android will remain open. Google will run Motorola Mobility as a separate business.

The transaction is subject to customary closing conditions, including the receipt of regulatory approvals in the US, the European Union and other jurisdictions, and the approval of Motorola Mobility’s stockholders. The transaction is expected to close by the end of 2011 or early 2012.
